Terms of Use

Welcome to the website of Systems Navigator Consultants B.V. and Systems Navigator B.V., a Dutch corporation (“Company”, “Systems Navigator”, “we,” “our” or “us”).  The following Terms of Use (the “Terms”) govern your access to and/or use of this website, including all pages within this website (collectively referred to herein below as this “Website”), and Systems Navigator’s content available at and/or through the website, including, but not limited to, press releases, dataroom information, white papers, case studies and project information (collectively, the “Company Services” or “Services”). These Terms apply in full force and effect to your use of this Website and by using this Website, you expressly accept all terms and conditions contained herein in full. You must not use this Website, if you have any objection to any of these Website Standard Terms And Conditions.

 

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) are not permitted to register for the Website or use of Company Services.

 

1. USER REPRESENTATION

By using the Company Services, you represent and warrant that:

  1. all registration information you submit is truthful and accurate;

  2. you will maintain the accuracy of such information;

  3. you will keep your password confidential and will be responsible for all use of your password and account;

  4. you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use this Website; and

  5. your use of the Company Services does not violate any applicable law or  regulation.

Certain areas of this Website are restricted from access by you and Systems Navigator may further restrict access by you to any areas of this Website, at any time, in its sole and absolute discretion.  Any user ID and password you may have for this Website are confidential and you must maintain confidentiality of such information.

 

3. INTELLECTUAL PROPERTY RIGHTS

The content on the website (“Company Content”) and the trademarks, service marks and logos contained therein (“Marks”) are owned by or licensed to Company, and are subject to copyright and other intellectual property rights under The Netherlands and foreign laws and international conventions. Company Content, includes, without limitation, all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics. All Company graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, common law trademarks or trade dress of Company in The Netherlands and/or other countries. Company’s trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any matter that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Company.

 

Company Content on the Website is provided to you “AS IS” for your information and personal use only and may not be used, copied, reproduced, aggregated, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Provided that you are eligible to use the Website, you are granted a limited license to access and use the Website and the Company Content and to download or print a copy of any portion of the Company Content to which you have properly gained access solely for your personal, non-commercial use. Company reserves all rights not expressly granted to you in and to the Website and Company Content and Marks.

 

4. USE OF SERVICES AND AVAILABILITY

Systems Navigator retains the right, in its sole and absolute discretion, to deny access to and/or use of the Company Services to anyone at any time and for any reason. While we use reasonable efforts to keep the Company Services accessible, the Company Services may be unavailable from time to time. You understand and agree that there may be interruptions to the Services and/or use of and/or access to your Account due to circumstances both within our control (e.g., routine maintenance) and outside of Systems Navigator’s control.  You are solely responsible for ensuring that your access to and/or use of the Services is in compliance with all laws, rules and regulations applicable to you and the right to access and/or use the Services is revoked where your access to and/or use of the Services is prohibited. Further, the Services are offered only for your use, and not for the use and/or benefit of any third party.

 

5. CREATING AN ACCOUNT

To sign up, access and/or use the Services, such as but not limited to, Website Membership, News updates and/or Newsletter, you must create an account (an “Account”).  Your Account requires you to (i) indicate agreement to the Terms, (ii) provide contact information, and (iii) submit any other form of authentication required during the registration process, as determined by Systems Navigator in its sole and absolute discretion.  You agree not to create an Account and/or use the Services if you have been previously removed by us and/or banned from the Services. You agree that Systems Navigator will not be liable to you and/or to any third party for any suspension and/or termination of your Account and/or any refusal of any access to and/or use of the Services (or any portion thereof).  You must provide accurate and complete information and keep your Account information updated. You shall not: (a) select and/or use as a username a name of another person with the intent to impersonate that person; (b) use as a username a name subject to any rights of a person other than you without appropriate authorization; and/or (c) use as a username a name that is otherwise offensive, vulgar and/or obscene.  You are solely responsible for maintaining the security of your Account, and you are fully responsible for all activities that occur under your Account and any other actions taken in connection with your Account. Your Account is non-transferrable and may not be sold, combined and/or otherwise shared with any other person. If you violate the Terms we may terminate your account immediately. You must notify us immediately of any change in your eligibility to use the Services (including any changes to and/or revocation of any licenses from state authorities), breach of security and/or unauthorized access to and/or use of your Account.  You should never publish, distribute and/or post login information for your Account. If we terminate your Account, you may not subscribe under a new Account unless we formally invite you. You must immediately notify Systems Navigator of any unauthorized uses of your Account or any other breaches of security. Systems Navigator will not be liable for any acts and/or omissions by you, including without limitation any damages of any kind incurred as a result of such acts and/or omissions.

 

6. TERM; TERMINATION

Subject to this Section, the Terms will remain in full force and effect while you access and/or use the Services.  We may terminate your Account and/or your access to and/or use of all or any part of the Services at any time, with or without cause, with or without notice, effective immediately and without liability, which may involve deletion of your User Content associated with your Account from our databases.  You agree that Systems Navigator will not be liable to you or to any third party for such removal. If you wish to terminate your Account, you may do so contacting Systems Navigator. Systems Navigator will not have any liability whatsoever to you for any termination of your rights under the Terms, including without limitation for termination of your Account and/or deletion of your User Content.

 

7. LIMITATION OF LIABILITY

In no event shall Systems Navigator, nor any of its officers, directors and employees, be liable to you for anything arising out of or in any way connected with your use of this Website, whether such liability is under contract, tort or otherwise, and Systems Navigator, including its officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

 

8. INDEMNIFICATION.

You hereby indemnify to the fullest extent Systems Navigator from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of these Terms.

 

9. SEVERABILITY.

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

 

10. VARIATION OF TERMS

Systems Navigator is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review such Terms on a regular basis to ensure you understand all terms and conditions governing use of this Website.

 

11. ASSIGNMENT

Systems Navigator shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, .you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

 

12. ENTIRE AGREEMENT

These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between Systems Navigator and you in relation to your use of this Website, and supersede all prior agreements and understandings with respect to the same.

 

13. GOVERNING LAW & JURISDICTION

These Terms will be governed by and construed in accordance with the laws of The Netherlands, and you submit to the non-exclusive jurisdiction of the courts located in The Hague for the resolution of any disputes.
